That same sentence is one of the most searched phrases among Syrian entrepreneurs in the UAE, the Gulf and Europe.

What changed? Almost everything. And if you’re thinking about being among the first to enter the new Syrian market, this guide is for you.

Why Syria — and Why Now?

In less than two years, the Syrian market has gone through a transformation it hasn’t seen in decades:

• 8 December 2024: The former regime fell and a new transitional era began.
• 1 يوليو 2025: The revocation of comprehensive US sanctions took effect, while the EU and the UK lifted most of their own sanctions.
• يوليو 2025: Legislative Decree No. 114 ل 2025 — the new Investment Law — was issued, setting a modern framework for private and foreign investment.
• 18 December 2025: The “Caesar Act” was fully repealed.
• 24 أغسطس 2026: Syria was removed from the US list of State Sponsors of Terrorism.

The impact on the ground: the Central Bank of Syria is back on SWIFT, Visa and Mastercard have been authorized, and billions of dollars in Gulf and Turkish investment commitments are flowing into construction, energy and infrastructure.

In short: Syria today is a market that needs everything — building materials, تكنولوجيا, الخدمات اللوجستية, solar energy, education and healthcare. And those who enter first take the biggest share.

What Does Investment Law 114 Offer You?

This law is the “password” for any investor today. Its key benefits:

1. Up to 100% الملكية الأجنبية in many sectors — no mandatory local partner.
2. Protection against expropriation and asset seizure, with guaranteed judicial review and compensation.
3. Repatriation of profits abroad in foreign currency after meeting tax obligations.
4. Access to international arbitration in contracts to protect your capital.
5. Tax and customs incentives for priority sectors such as technology, renewable energy and manufacturing.
6. Ownership of the real estate the project needs, within the scope of the investment license.

💡 Octobus tip: If you already own a company in the UAE, opening a branch or subsidiary in Syria may be smarter than starting from scratch — it preserves your international structure and makes moving funds and signing contracts easier.

How to Set Up a Company in Syria — Step by Step

1. Reserve your trade name and confirm it isn’t already taken.
2. Draft the Articles of Association in Arabic, following the approved official template.
3. Deposit part of the capital in an account with a licensed Syrian bank.
4. Notarize the documents and submit the file to the Companies Directorate or the Syrian Investment Authority, depending on the project.
5. Obtain your Commercial Registry number.
6. Register for tax and get your Tax Identification Number.
7. Secure activity-specific licenses (industrial, tourism, healthcare, etc.).
8. Open the company’s operating bank account.

For Expats: Set Up Your Syrian Company Without Leaving Dubai 🇦🇪

Here’s the news many people don’t know: the law allows expatriates to establish companies in Syria remotely through a legal power of attorney — no need to travel.

On top of that, the authorities have started enabling company formation and management procedures online, as part of digital-transformation plans to cut red tape.

So you can be sitting in your office in Deira or Business Bay while your company is being registered in Damascus or Aleppo.

Required Documents (General Overview)

• Copies of passports / IDs for all partners.
• A certified power of attorney (for remote setup).
• Certified and translated registration documents of the parent company (when opening a branch).
• Articles of Association in Arabic.
• Proof of capital deposit.
• The company’s registered address in Syria.

⚠️ Heads up: Many authorities treat foreign apostilles and attestations as valid for only 6 months. Get your attestations done close to your submission date.

Mistakes That Cost Investors Time and Money

• Assuming registration = a ready bank account. Account opening isn’t automatic after registration; banks require full verification of partners, managers and authorized signatories.
• Choosing the wrong legal form, which forces a costly restructuring later.
• Skipping due diligence on local partners and suppliers.
• Forgetting international compliance: even with sanctions lifted, you must make sure your counterparties aren’t on individual sanctions lists.
• Going in without an advisory partner who understands both the law and the reality on the ground.

The Hottest Sectors in Syria in 2026 🔥

• Solar and renewable energy — high sun hours and customs exemptions on equipment.
• Technology and software — dedicated tax incentives for the sector.
• Import and general trading — a market hungry for goods.
• Logistics and transport services.
• Private healthcare and education.
